The terms that govern access to and use of the TidyOps software platform and related services.

TidyOps Terms of Service

Effective Date: September 6, 2026

Last Updated: September 6, 2026

These Terms of Service (“Terms”) govern access to and use of the TidyOps software platform, websites, applications, and related services (collectively, the “Services”).

The Services are provided by HCP Automation LLC dba HSP Automation, an Idaho limited liability company (“HSP Automation,” “TidyOps,” “we,” “us,” or “our”).

By creating a TidyOps account, purchasing a subscription, accessing or using the Services, or otherwise indicating your acceptance of these Terms, you agree to be bound by these Terms.

If you use the Services on behalf of a company, organization, or other legal entity, you represent and warrant that you have authority to bind that entity to these Terms. In that case, “Customer,” “you,” and “your” refer to that entity.

If you do not agree to these Terms, do not access or use the Services.

1. The TidyOps Services

TidyOps is a software-as-a-service platform designed to help cleaning businesses manage their operations.

Depending on the features available under your account and subscription, the Services may include functionality related to:

Customers and prospective customers;Properties and service locations;Estimates and quotes;Cleaning jobs;Recurring services;Scheduling;Employees and contractors;Team management;Customer communications;Operational records;Reporting;Payments or billing;Integrations;Automation; andOther cleaning-business operations.

We may add, modify, improve, replace, or discontinue features from time to time as described in these Terms.

2. Eligibility and Business Use

You must be at least 18 years old and legally capable of entering into a binding agreement to use TidyOps.

TidyOps is intended primarily for businesses and professional organizations.

By using TidyOps on behalf of a business, you represent and warrant that:

You are authorized to act on behalf of that business; You have authority to enter into these Terms; The information you provide is accurate;Your use of TidyOps complies with applicable law; andYou will use the Services for legitimate business purposes.3. Accounts

Certain portions of the Services require a TidyOps account.

You agree to provide accurate, current, and complete account information and to keep that information updated.

You are responsible for:

Maintaining the confidentiality of your login credentials; All activity occurring under your account;Controlling access by your employees, contractors, and other users;Assigning appropriate user permissions;Removing access when a user should no longer have access; andPromptly notifying us of suspected unauthorized access.

You may not share individual login credentials between users if doing so circumvents applicable account or subscription limits.

You must notify us promptly at info@hspautomation.com if you believe your account has been compromised.

4. Authorized Users

Customers may permit employees, contractors, managers, administrators, or other authorized individuals to access the Services as permitted by their subscription.

Each person accessing TidyOps through a Customer's account is an “Authorized User.”

The Customer is responsible for its Authorized Users and their compliance with these Terms.

Actions taken by an Authorized User through a Customer account will generally be treated as actions authorized by the Customer.

TidyOps may establish limits on the number of Authorized Users permitted under each subscription plan.

Unless otherwise stated in the applicable subscription terms, customer-facing portal users who access limited functionality solely as customers of a TidyOps Customer are not considered staff Authorized Users for subscription user limits.

5. Subscription Plans

TidyOps may offer multiple subscription plans with different user limits, features, services, or other restrictions.

Current subscription offerings may include plans such as Starter, Growth, and Scale.

Current pricing, included users, features, and plan limitations are displayed on the TidyOps website or during checkout.

We may change available subscription plans or pricing from time to time.

Pricing changes will not retroactively alter amounts already paid for a current billing period.

If we increase the price of an existing paid subscription, we will provide notice as required by applicable law before the new price applies.

6. Free Trials

TidyOps may offer eligible new customers a free trial.

Unless otherwise stated when you begin the trial, the standard TidyOps free trial period is 14 days.

A payment method may not be required to begin certain free trials.

At the end of a trial that does not have a payment method and paid subscription attached, access to paid functionality may expire unless you purchase a subscription.

If a trial requires a payment method and automatically converts to a paid subscription, the applicable terms, price, renewal frequency, and cancellation method will be disclosed before you authorize the subscription.

We may determine eligibility for free trials and may limit or revoke trial access where we reasonably believe a person or organization is abusing trial offers.

7. Billing and Payment

Paid subscriptions are billed according to the billing frequency selected by the Customer, which may include monthly or annual billing.

By purchasing a paid subscription, you authorize TidyOps and its payment processor to charge your selected payment method for applicable:

Subscription fees;Taxes;Add-ons;Upgrades; andOther charges you authorize.

You are responsible for maintaining valid and current payment information.

Except where otherwise required by law or expressly stated in these Terms, subscription fees are charged in advance.

8. Automatic Renewal

Paid subscriptions automatically renew at the end of each applicable billing period unless canceled before renewal.

For example:

A monthly subscription renews monthly; andAn annual subscription renews annually.

By purchasing a recurring subscription, you authorize us to charge the applicable subscription price and taxes to your payment method at each renewal until the subscription is canceled.

We will provide renewal notices where required by applicable law.

9. Cancellation

You may cancel your TidyOps subscription through the cancellation functionality provided in your account or through another cancellation method we make available.

Cancellation prevents the subscription from renewing for another billing period.

Unless otherwise required by law, cancellation generally takes effect at the end of the current paid billing period, and you may continue using the applicable paid Services until that period ends.

Canceling a subscription does not automatically delete your TidyOps account or Customer Data.

If you wish to delete your account or Customer Data, you may need to separately request deletion or use applicable account-deletion functionality.

10. Refunds

Except where required by law or expressly stated otherwise, subscription fees and other amounts paid to TidyOps are non-refundable.

We generally do not provide refunds or credits for:

Partially used billing periods;Unused features;Unused user capacity;Customer inactivity;Failure to cancel before renewal; orDowngrades during a billing period.

Nothing in this section limits any refund right that cannot legally be waived.

11. Upgrades and Downgrades

Customers may change subscription plans where supported by the Services.

Upgrades may take effect immediately and may result in a prorated charge for the remainder of the current billing period.

Unless otherwise specified, downgrades take effect at the beginning of the next billing period.

A downgrade may reduce:

User limits;Available features;Storage;Integrations;Administrative capabilities; orOther functionality.

Before downgrading, Customers are responsible for determining whether the lower-tier plan meets their operational requirements.

12. Taxes

Fees displayed by TidyOps may not include applicable sales, use, excise, value-added, or similar taxes unless expressly stated.

You are responsible for applicable taxes associated with your purchase or use of the Services, except taxes based on TidyOps' net income.

Where required, we or our payment processor may calculate, collect, and remit applicable taxes.
